1. ACCEPTANCE OF TERMS

By enrolling in, accessing, or participating in any Jess Stewart LLC (“Company,” “we,” “us,” or “our”) service, program, community, event, or platform (collectively, the “Services”), you (“Participant,” “Client,” “Member,” or “User”) agree to be bound by this End User Agreement (“Agreement”), the Company’s Terms & Conditions, and the Company’s Privacy Policy. If you do not agree to these terms, you may not access or use the Services.

2. SCOPE OF SERVICES

Jess Stewart LLC provides leadership coaching, consulting, executive training, strategic education, workshops, and community-based programs delivered through digital, hybrid, and live formats. These Services are intended for professional and educational development purposes only and do not constitute legal, medical, or financial advice.

3. ELIGIBILITY

Participants must be at least 18 years old and legally capable of entering into a binding agreement. You agree to provide accurate information, use your true identity, and maintain the confidentiality of your login credentials. Access sharing or transfer to others is strictly prohibited.

4. LICENSE AND ACCESS RIGHTS

Upon enrollment, Jess Stewart LLC grants you a limited, non-exclusive, non-transferable, revocable license to access materials for your personal or internal business use during the access period. You may not:
- Copy, record, or distribute videos, course materials, or coaching content;
- Share access credentials or upload proprietary materials to external platforms;
- Create derivative works or programs based on Jess Stewart LLC frameworks;
- Use Jess Stewart LLC intellectual property for commercial purposes.

All materials remain the sole property of Jess Stewart LLC and are protected under applicable copyright and intellectual property laws.

5. PAYMENTS AND REFUNDS

All payments are processed securely through third-party payment processors (such as Stripe). Jess Stewart LLC does not store full credit card information. All payments are final and non-refundable, except as required by law. Payment plans must be completed in full, and failure to do so may result in suspension or termination of access without refund.

6. PROFESSIONAL CONDUCT AND CONFIDENTIALITY

You agree to uphold the highest standards of professionalism, confidentiality, and respect within all Jess Stewart LLC Services. Participants must:
- Treat all members, coaches, and staff respectfully;
- Maintain confidentiality of private or sensitive information shared in sessions or communities;
- Not record or distribute coaching calls, workshops, or community discussions;
- Refrain from solicitation, promotion, or recruitment for outside products or services.

Violation of these standards may result in immediate termination of access without refund.

7. EVENTS, SESSIONS, AND LIVE WORKSHOPS

By attending any live or virtual session, you acknowledge participation is voluntary and at your own risk. Jess Stewart LLC is not responsible for injury, property loss, or travel issues. By attending, you grant permission for the Company to capture and use photographs, video, or audio recordings for educational or marketing purposes, unless you withdraw consent in writing before the event.

8. PROPRIETARY SYSTEMS AND AI TOOLS

Jess Stewart LLC may provide access to proprietary systems, templates, or AI-assisted tools (including, but not limited to, 'Ask Jess'). All prompts, outputs, and data generated through these systems remain confidential and are the intellectual property of Jess Stewart LLC. Users are prohibited from exporting, reproducing, or training other models based on such systems.

9. INTELLECTUAL PROPERTY AND BRAND USE

All Jess Stewart LLC frameworks, videos, modules, templates, and branding elements are protected by copyright and trademark law. You may not copy, modify, or publicly distribute any material without written authorization. Misuse of intellectual property will result in termination and potential legal action.

10. PRIVACY AND DATA USE

Jess Stewart LLC collects and processes limited participant information—including names, emails, and engagement metrics—for service delivery and quality improvement. All data is handled in accordance with our Privacy Policy. We use secure third-party systems, including Rapid Active CRM, for client management, and do not sell or trade personal data.

11. TESTIMONIALS, FEEDBACK, AND CONTENT CONTRIBUTIONS

By submitting feedback, testimonials, or participating in sessions, you grant Jess Stewart LLC permission to use your feedback, first name, likeness, or voice recordings in promotional or educational materials, unless withdrawn in writing. All contributions are considered non-confidential and may be used at the Company’s discretion.

12. DISCLAIMER OF WARRANTIES

All Services are provided 'as is' and 'as available.' Jess Stewart LLC makes no express or implied warranties regarding results, suitability, or specific outcomes. Performance and success vary based on individual engagement and effort.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Jess Stewart LLC shall not be liable for any indirect, incidental, or consequential damages arising from your participation in or use of any Services. In no event shall total liability exceed the amount paid by you for the specific Service giving rise to the claim.

14. TERMINATION OF ACCESS

Jess Stewart LLC reserves the right to suspend or terminate your access without refund if you breach this Agreement, fail to meet payment obligations, misuse intellectual property, or engage in unethical or disruptive conduct. Termination does not release you from remaining financial obligations.

15. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the State of Texas, specifically Parker County. Disputes shall first be addressed through good-faith negotiation. If unresolved, they shall be submitted to binding arbitration in Parker County, Texas, in accordance with the American Arbitration Association rules. Judgment may be entered in any Texas court of competent jurisdiction.

16. MODIFICATIONS AND UPDATES

Jess Stewart LLC may amend this Agreement at any time. Updated versions will be posted on the official Company website with an effective date. Your continued participation constitutes acceptance of the updated terms.

17. ACCEPTANCE

By checking the box, clicking 'I Agree,' or participating in any Jess Stewart LLC Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement, along with the Company’s Terms & Conditions and Privacy Policy.
